Terms of Service

This Service Agreement (the "Agreement") constitutes a legally binding agreement by and between Echo Media Studio Inc., a corporation organized under the laws of Ontario, Canada ("Echo Media Studio") and the client, whether personally or on behalf of an entity ("Client"), with regard to access and use of Echo Media Studio's professional marketing solutions and creative services (the "Services").

1. Services and Project-Based Engagement
1.1 Echo Media Studio provides specialized marketing solutions, including but not limited to: Video Editing, Photography, Copywriting, Graphic Design, Motion Graphics, and Website Development.

1.2 Project-Based Model: Unlike subscription services, Echo Media Studio operates on a project-by-project basis. Each engagement begins with a consultation (Reach) and a scope definition (Refine).

1.3 Deliverables: Specific deliverables, timelines, and milestones will be outlined and agreed upon in a project quote or Statement of Work (SOW) provided to the Client prior to the commencement of work.

2. Quotations and Payment
2.1 Transparent Quotes: Echo Media Studio will provide a detailed quote for each project. Work will begin only after the Client approves the quote and pays any required upfront deposit as specified in the SOW.

2.2 Pricing: All prices are quoted in the currency specified in the invoice. Unless otherwise stated, quotes are valid for 30 days.

2.3 No Hidden Fees: We commit to price transparency. Any changes to the project scope that incur additional costs will be discussed and approved by the Client in writing before proceeding.

3. Additional Expenses
3.1 The Client is responsible for third-party costs incurred during production, including but not limited to:Models, Actors, and Voiceover TalentLocation rentals or permitsStock footage or premium font licenses not already owned by Echo Media Studio

3.2 Echo Media Studio will provide estimates for these expenses for Client approval before such costs are incurred.

4. Client Responsibilities and Feedback
4.1 To ensure efficient delivery, the Client agrees to provide timely feedback and necessary brand assets. Delays in Client response may result in adjusted delivery timelines.

5. Intellectual Property and Indemnification
5.1 Ownership: Upon full and final payment, the Client owns the final exported deliverables created for the project. Echo Media Studio retains the right to display the work in its professional portfolio and marketing materials unless otherwise agreed in writing.

5.2 Indemnification:
The Client shall indemnify and hold harmless Echo Media Studio Inc., its officers, and employees from any claims, damages, or legal fees arising from the content provided by the Client or the use of the final marketing materials, including claims of copyright or trademark infringement.

5.3 Non-Liability:
Echo Media Studio shall not be held liable for any legal actions or damages resulting from the Client’s distribution or implementation of the marketing materials provided.

6. Limitation of Liability
Echo Media Studio Inc. shall not be liable for any indirect, incidental, or consequential damages, including loss of profits, arising out of the Services provided. Our total liability for any claim shall not exceed the amount paid by the Client for the specific project in question.

7. Termination
Either party may terminate a project engagement by providing written notice. In the event of termination, the Client is responsible for payment for all work completed up to the date of termination.

8. Refunds
Due to the custom-tailored and time-consuming nature of professional creative services, no refunds will be issued once work has commenced on a project.

9. Force Majeure
Neither party shall be liable for delays caused by circumstances beyond their reasonable control, including natural disasters, government actions, or major technical infrastructure failures.

10. Governing Law and Dispute Resolution
This Agreement shall be governed by the laws of the Province of Ontario, Canada. Any disputes arising from this Agreement shall be resolved through binding arbitration in Oakville, Ontario, or through the courts of Ontario.

11. Entire Agreement
This Agreement, along with any project-specific SOW or quotes, constitutes the entire understanding between Echo Media Studio Inc. and the Client, superseding all prior agreements.
